Terms of Service

These Terms of Service ("Terms") are an agreement between you (the customer, "you") and FLOMIZ TECHNO LLP ("Flomiz", "we", "us"), the provider of the Flomiz business management platform (the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a company or firm, you represent that you are authorised to bind that entity, and "you" refers to that entity.

Flomiz is a business management platform offering modules such as accounting, invoicing, inventory, CRM, payroll and related tools, delivered as a cloud (SaaS) subscription or as an on-premise deployment. The specific modules and usage limits available to you depend on the plan and add-ons you subscribe to.

We may improve, change or discontinue features of the Service over time. Where a change materially reduces functionality of your paid plan, we will use reasonable efforts to notify you in advance.

You must provide accurate, complete registration information and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, including activity by users you invite. Notify us immediately at support@flomiz.com if you suspect unauthorised use.

The Service is intended for business use by persons who are at least 18 years old and capable of entering into a binding contract under Indian law.

New accounts may receive a free trial for the number of days shown on the applicable plan. During the trial you get access to the plan's features without payment. When the trial ends, your account may be restricted to read-only access until you purchase a subscription. We may modify or withdraw trial offers at any time for new signups.

Paid plans are billed on a monthly or yearly cycle. The first billing period is charged at the plan's first-period price; subsequent renewals are charged at the plan's Annual/periodic Maintenance Charge ("AMC") rate for your chosen cycle, as shown at the time of purchase. Add-ons (such as additional users, firms or branches) are charged at the applicable add-on rates, prorated where indicated.

Prices may change; changes apply from your next renewal and will be visible before you pay. If a renewal payment is not received by the due date, your account may enter a grace period, then become read-only, and may eventually be suspended. Your data is retained in accordance with Section 8 during these states.

Payments are processed through PCI-DSS compliant third-party payment gateways, or recorded against offline payments (such as bank transfer or UPI) confirmed by us. We do not store your card, UPI or net-banking credentials on our servers. All prices are in Indian Rupees (INR) and exclusive of taxes unless stated otherwise; GST is added where applicable and a GST invoice is provided for every successful payment.

All subscription purchases are final. Once you have subscribed to a plan, the payment is non-refundable and non-returnable — we do not offer returns, refunds, exchanges or pro-rata credits for any part of a billing period, whether or not you use the Service.

This applies to new subscriptions, renewals, upgrades and add-ons. Cancelling stops future renewals only — it does not refund amounts already paid, and your access continues until the end of the period you have paid for. Please use the free trial described in Section 5 to evaluate the Service before you pay.

A payment you never owed is not a refund: a duplicate charge, or money debited without the subscription activating, is put right on request. Nothing in this section limits any right you have that cannot be excluded under applicable law. See our Cancellation & Refunds Policy, which forms part of these Terms.

You own the business data you and your users enter into the Service ("Customer Data"). We claim no ownership of Customer Data. You grant us a limited licence to host, process, back up and display Customer Data solely to provide and support the Service.

You can export your Customer Data (for example, as spreadsheets or reports) from within the Service at any time while your account is active or read-only. After termination, we may retain Customer Data for a limited wind-down period, after which it may be permanently deleted. Handling of personal data is described in our Privacy Policy.

You agree not to:

• use the Service for any unlawful purpose or in violation of applicable laws, including tax and accounting regulations;
• attempt to gain unauthorised access to the Service, other customers' data, or our systems;
• probe, scan, overload, disrupt or interfere with the Service or its security features;
• resell, sublicense or provide the Service to third parties as a service bureau without our written consent;
• upload malware or content that infringes intellectual property or privacy rights of others.

We may suspend accounts that violate this section, with notice where practicable.

We aim to keep the Service available at all times but do not guarantee uninterrupted availability. Planned maintenance will be scheduled to minimise disruption where reasonably possible. Support is provided via support@flomiz.com during business hours in India.

The Service, including its software, design, and documentation, is owned by FLOMIZ TECHNO LLP and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. Feedback you provide may be used by us without obligation.

You may stop using the Service and cancel your subscription at any time; cancellation takes effect at the end of the paid period unless stated otherwise, and no refund is due for that period or any unused portion of it (see Section 7). We may suspend or terminate the Service for material breach of these Terms, non-payment, or where required by law. Sections that by their nature should survive (including ownership, limitation of liability, and governing law) survive termination.

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. The Service assists with business record-keeping but does not constitute accounting, tax or legal advice — you remain responsible for the accuracy of your filings and statutory compliance.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Our aggregate liability arising out of or relating to the Service is limited to the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

We may update these Terms from time to time. Material changes will be notified through the Service or by email before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws of India. Subject to any mandatory law, the courts having jurisdiction over the registered office of FLOMIZ TECHNO LLP in India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.
